Coinbase Issues Dire Warning: Some Crypto Companies May Be Forced to Dump Coins

Coinbase Warns: Rising Debt Could Force Crypto Firms to Sell Holdings

Financial Stress Mounts in Crypto Industry, But Regulation and Corporate Buying Offer Hope

June 2025 — Coinbase has issued a stark warning about the growing financial strain on some publicly traded crypto firms. A new report from the leading U.S. crypto exchange highlights the risk of forced crypto asset sales due to rising debt pressure, especially if markets continue to weaken.

While major players are not yet at immediate risk, the possibility of a wider crypto sell-off looms if firms cannot manage or refinance their obligations. The report outlines the delicate balance between loan-to-value ratios, refinancing risks, and broader market stability.

Why Forced Crypto Sales Could Be Coming

What Are PTCVs

Coinbase’s report focuses on Publicly Traded Crypto Vehicles (PTCVs) — companies that raise funds from investors and use them to buy and hold crypto. These firms often issue convertible bonds, a type of debt that can be turned into stock later, to get access to cheap capital for buying Bitcoin, Ethereum, and other assets.

“The risk of forced selling pressure arises because many of these PTCVs have issued convertible bonds to raise cheap money,” Coinbase explains.

But here’s the catch: If crypto prices fall significantly and these companies can’t refinance their debts, they may be forced to liquidate their crypto holdings to repay lenders. That would put major downward pressure on the market.

Key Risk Factors:

  • Falling crypto prices

  • Inability to refinance debt

  • Rising loan-to-value (LTV) ratios

  • Limited transparency in private firms’ balance sheets

Loan-to-Value Ratios: Manageable, But Fragile

Coinbase notes that most large crypto firms are currently operating with manageable LTV ratios — meaning they haven’t borrowed too much relative to their crypto assets.

However, the real danger lies in the refinancing environment. With interest rates still elevated and investor appetite mixed, some companies may struggle to roll over their debts. Without new capital or rising crypto prices, that could force them to sell off parts of their portfolio.

“Capital structures in private transit capital vehicles are inconsistent and hard to monitor,” the report warns.

Corporate Accumulation Offers a Silver Lining

Not all is doom and gloom. Coinbase says there’s reason for cautious optimism, especially as corporate adoption of crypto continues to grow.

Positive Signs:

  • More traditional companies are adding crypto to their balance sheets.

  • There’s increasing interest in on-chain yield products.

  • Institutional accumulation could offset selling pressure from distressed firms.

Coinbase believes the second half of 2025 could see a renewed bullish trend, driven by corporate demand and clearer regulations.

Big Regulatory Changes Coming in 2H25

The second half of 2025 could be a turning point for crypto regulation in the U.S., according to Coinbase.

Key Bills to Watch:

  • STABLE Act – Focuses on stablecoin reserves and consumer protection.

  • GENIUS Act – Introduces new rules for compliance and anti-money laundering (AML).

  • Digital Asset Market Clarity Act – Could split oversight between the SEC (for securities) and the CFTC (for commodities).

If these bills are passed, President Trump is expected to sign them before the August 4 Congressional recess. This would bring long-awaited regulatory clarity to the crypto market, especially for stablecoins and token classifications.

 ETF Boom on the Horizon

The U.S. Securities and Exchange Commission (SEC) is currently reviewing around 80 crypto ETF applications, with potential decisions coming between July and October.

ETF Types Under Review:

  • Multi-asset index funds

  • Staking-enabled products

  • Single-asset altcoin ETFs

Approval of these ETFs could unleash massive new capital flows into the crypto market, making it easier for retail and institutional investors to gain exposure.

 Bitcoin Still Strong, Altcoins Mixed

Despite concerns about debt-related selling, Coinbase still believes Bitcoin is well-positioned. The top cryptocurrency remains the most trusted and liquid asset in the space.

“Yield risks and forced selling persist, but Bitcoin remains strong,” the report concludes.

Meanwhile, altcoins may face a more selective environment, with only high-utility or project-driven tokens expected to outperform.

Risks Rising, But So Is Opportunity

Coinbase’s latest report offers a balanced view of the crypto market heading into the second half of 2025. While there are serious risks from debt-laden firms that might be forced to sell, there are also strong signals of growth, especially from:

  • Corporate crypto buyers

  • Regulatory clarity

  • Potential ETF approvals

If refinancing gets tougher, we may see short-term price volatility. But with Bitcoin’s strength, growing institutional demand, and improving regulatory frameworks, the crypto market could still be gearing up for a strong comeback in late 2025.
